How Does Insurance Payee Match Up with Claims of Ownership of the Loan?

There have been many admissions by government officials and even parties to the litigation over mortgage Foreclosures to the effect that at this point the ownership of most loans is in doubt. Even President Obama said it, reflecting the views and advice of the senior advisors at the White House. On appeal, recently in California, BOTH sides admitted they had no way of identifying the true creditor --- and that is why we have all this litigation, why we have gridlock on modifications and settlements. So what do we do?

One insurance expert I interviewed suggested that his industry might solve the problem, but I think his points raise more questions than answers. Nonetheless, to prove the question, and overcome certain presumptions that are legally applied, examining the insurance policies and the changes that occur in forced placed insurance might reveal the issues and even illuminate the potential solution.

Bank of America is an example of a bank that rushes to take any excuse to place insurance from their own carrier BalBOA, naming BOA as the loss payee on liability policies. The usual previous loss payee was someone else --- perhaps the originator or some alleged assignee. The procedure of forced placed insurance creates both additional income to the bank and skips over the question of who owns the loan. When the insurance is reinstated or shown to have never lapsed in the the first place, it often names BOA thus lending support to the bank's position that it is the owner of the loan.

Looking at the title insurance, who is the loss payee? Besides the owner's policy there is a rider for the mortgagee named in the mortgage. Of course that party may not be a mortgagee when the mortgage is examined carefully. But changes in loss payees under title insurance usually requires notice and consent of the owner of the property.

Thus the question could be asked in Discovery about who was responsible for tracking title insurance, liability insurance and PMI, why does the policy name a loss payee other than the bank claiming ownership and what efforts were made by the bank to correct the identity of the creditor?

The same thing applies to PMI. If the payee is somebody different than the Forecloser you will notice that none of the banks allege that this is a breach of the mortgage contract. Why not? I think it is because the insurer would demand more proof than what is offered in court as to ownership and that the bank would not be able to satisfy the insurer that it had an insurable interest in the property.

The "parsha" this week from the Torah involves the story of the second creation, when G-d wiped out all life on the earth except for Noah and the inhabitants of his ark. The reason why this happened was thievery amongst other reasons (beastiality included). But the part about thievery was not just that people stole from one another, but because it had become a way of life.

"While such exaggerated self-deception is hard to imagine in real life, the capacity for human beings to lose touch with their actions can be truly remarkable. A true story which illustrates this took place in a suburb of Warsaw about 70 years ago:
"A woman had come from out of town, bringing her family's meager savings with her, searching for profitable business transactions. As it happened, while she was staying at the local Jewish inn, thieves stole her money. When the local rabbis saw how distraught the woman was, they hit upon an unusual plan - to talk with the "leading" thieves in the area, whom these rabbis knew, and see if the money could be retrieved.
"Surprised at being summoned by the rabbis, the thieves agreed to a meeting. One of the rabbis explained to them the difficult straits the victimized woman was in, and, though he was not at all certain what their response would be, suggested that the thieves keep 30 percent of the loot and give the rest back to the poor woman. Upon hearing this, one thief fell into a rage, shouting, "We worked hard for the money! It belongs to us! We're not going to keep less than 60 percent!" (Quotes from http://www.aish.com).
The problem here was the thinking process of the Rabbis, the thieves and the victim. The victim did not ask for justice and return of her money. The Rabbis failed to demand justice, making sure that the thieves did not enjoy their loot and punishing them as an example to others, and the thieves who had rationalized what they were doing as work and therefore earning a place at the table of compensation. With everything so upside down, and all humanity having entered into a dark period of self deception, G-d makes the decision to flood the world and dispose of all mankind and all other loving things, with a view toward restarting a world that is not based in fiction and self delusion, rationalization and acceptance of consistent immorality.
From that era come reports that "often many thieves would descend on their victim together, but each of them would take only a very small quantity of goods to insure their individual exemption from prosecution. The thieves would repeat this over and over again. The end result was that though they had become enriched, the thieves could rationalize they hadn't really done anything wrong, for, after all, no court was demanding they stand trial."
"With this understanding, the error of the flood generation was more than simply a case of people constantly stealing. It was a situation in which people had so lost their moral compass that they'd become embroiled in self-deception and could no longer recognize that they'd done wrong. It was because their self-deception had become so extreme that they were beyond repair and the Almighty had no choice but to start His creation all over again."
I don't have the pay grade of someone who can say whether our current situation is of biblical significance, but from my personal vantage point it certainly appears that we have reached the point of total loss of moral compass and the acceptance of thievery on a world-wide basis with both the thieves and the victims rationalizing the system and the government both allowing promoting violation of any moral standards and the government's own laws. I speak of bankers and brokers, merchants and politicians.
Before we expect another flood it should be pointed out that the courts and government are in conflict on this very point. In the mortgage mess the decisions range from appropriate moral outrage at bank behavior to intentionally turning a blind eye toward the bankers' behavior and actually enforcing the deceptions and rewarding the bankers with approval. The victims have largely accepted their fate in part because of acceptance of an era of injustice. And even the lawyers who are there to intervene on behalf of those who cannot fight for justice themselves are in a state of denial and self deception. It is nearly universally accepted that foreclosure is just and proper and that borrowers should pay their debts.
I accept the notion that borrowers should pay their debts and I even accept the extreme remedy of throwing a family out on the street if they agreed to use their home as collateral for a loan. But I ask the question: if in 1996 it was announced that over the next 6 months tens of millions of families were going to be enticed into taking loans based upon false promises of property values, false promises that because of unique innovations on Wall Street they would be able meet the payments and even make money, and false representations that their lender was at risk and could therefore would obviously not put itself in the position of going out of business because these loans could not work, what would you say to that?
If borrowers should pay their debts, then are we not saying that they should pay for the risk they knew they were taking? Would we not say that the bankers themselves assumed the rest of the risk caused by inflated appraisals, false underwriting, and false representations about the sharing of risk? And what would we say to the investors who, like the borrowers, assumed that the risk on the loans they were funding was no greater than the risk on mortgage loans before this plan was put into place? Wouldn't we say the investors should be paid 100% for the principal they advanced the interest income they need to pay their pensioners?
If it was known in 1996 that more than $17 trillion would be taken from investors under false pretenses and that the bankers would create a "shadow banking system" tens times the size of the world's money supply, the answer would have been "no, you can't do that." But because it happened over 15 years instead of 6 months and happened one "loan" at a time, it gradually eroded our outrage and acceptance of corrupt behavior became the norm. If you look at the results, you can easily see that the bankers retained all of their ill-gotten gains and were rewarded with more!
If it was known that 10,000,000 families would be displaced by the conduct of bankers who were playing with other people's money and who moved money under false pretenses claiming part of the movement were conventional real estate mortgage loans, we would have said that would have a devastating impact on our country driving it into a depression worse than the 1930's. So we would have said no, you can't do that.
And if the bankers attempted to do it all anyway, we would have stopped them, seizing the money they were taking in and returning it to investors and correcting the false mortgage liens and loans so that the borrower was paying for the risk they agreed to assume not the risk imposed on them by the corrupt bankers in a surprise "gotcha" that clearly violated federal state deceptive lending laws. So at least 25,000,000 people get thrown out of their homes based on 2.5 persons per household.
And millions of people who think they can live off their pensions are going to be learning that their vested pensions are now underfunded and that they will be paid less because of losses from mortgage bonds that were bogus from start to finish. And those victims mostly fail to express outrage and claims for justice as the banks continue to make false reports of proprietary transaction profits that are mere book entries changing the apparent ownership of the money from investors to the investment bankers.
Instead, like the victim in the story above, most homeowners are accepting their fate because they agree that borrowers should pay their debts. They don't understand the concept of assumption of risk. Despite laws requiring disclosure of the parties and terms of the loan our society has adopted the view that the guiding principle should be borrowers should pay the debts, as claimed by anyone who asserts the claim --- even if they never loaned any money and have no money in the deal. The laws and rules regarding disclosure were created to protect consumers from banks who were clearly in a far superior position to understand the transaction, the payment terms, the viability of the loan, the real value of the collateral, and the likelihood that the transaction would work. Today the Truth in lending Act, while still law, is ignored in favor of expediting Foreclosures on loans that everyone agrees were based upon false pretenses to both lender and borrower.
With the victims out- gunned and lacking in the information that would fully explain the way they got into this mess, the regulators, law enforcement and lawmakers are supposed to do something for all these people --- the borrowers and the investors. The government should have made it known that this scheme involved taking people's pension money and loaning their own money in a "loan" that was merely a transfer of money from the persons pension account to the pockets of the investment banker. The mortgage loan was merely window dressing and the bankers, regulators and law enforcers and law makers are ignoring the reality, self-deluding themselves and lazily helping the bankers. They propose settlements like the Rabbis who offered a percentage to the thieves. They bargain as though the thieves had legitimately earned some portion of the theft from the poor women. They were accepting and ratifying moral and legal corruption.
If we start with the premise that borrowers should pay their debts, we are already committing error. Long ago misbehavior of lenders caused both common law and statutory rules and laws concerning the "just debt." If the loan was usurious many states made it a crime, wiped out the interest due and in some cases wiped out the principal as well to dissuade others would might be tempted to prey upon people who don't have advanced degrees in business and mathematics, people who don't have years of experience squeezing transactions for profits not visible to the laymen's eye.
Our self delusion, rationalization and hypocrisy has reached epic proportions. We apply moral and legal standards to borrowers, use that to strip pension funds of any right to repayment and any protection of collateral that was pledged to the bankers instead of the lenders. The horrid hypocrisy of holding borrowers to a false moral and legal standard while not starting, as the law as always done before, with the premise that lenders should obey the law, disclose the true nature of the transaction and behave in a moral and legal manner has supplanted our system of justice that dates back to Judaic rules for reaching justice as a result and not just finality.
Across the country, using the false premise that the borrowers are responsible for this mess, many courts, the media, government and law enforcement are creating false settlements, admitting that the bankers have been and still are misbehaving but allowing the bankers to retain their ill-gotten gains. They have now assumed that despite the requirements of due process and the rules of civil procedure that the borrowers should be assumed wrong and the strangers bringing Foreclosures are right and that any defense by the borrower should be dispatched as creating delay. Expediency has now replaced justice. Expediency for the sake of bankers and governments colluding with them.
If Christianity stands for the proposition that people matter more than business and money, if Judaism stands for the proposition that the Jews are chosen to lead the way for a righteous life, if Muslims stand for the proposition that followers of Islam are messengers of actual true justice, then the state of the world, not just our own national economy, is fast approaching the point where G-d hits the reset button again.

Sadly we are seeing more of this. Inexperienced Judges, thrown into cases , that they know nothing about , because none of these cases are normal foreclosures and to treat them as they are , is blind justice and a failure to protect the innocent.

Foreclosure Court: The Erosion of the Judiciary

I’m a big believer in the justice system.  In fact, that’s part of why I became a lawyer.  I believe in every litigant’s right to obtain a fair hearing and trial before a neutral judge and/or impartial jury.  It sounds cliché, but that’s what I do – help people navigate the judicial system in their time of need.
In recent months, though, the judiciary in many parts of Florida (not all, but many) has turned into something I don’t recognize.  The change has been so sudden and so extreme that it’s altering the face of the judiciary and hindering that which I hold so dear – the right to fair hearings and due process.  Yes, what I consider the “core” of a fully-functioning judicial system is eroding.
If you’re a Florida lawyer but you don’t handle foreclosure cases, you likely have no idea what I’m talking about.  After all, outside of foreclosure-world, Florida’s courts are operating like normal, business as usual.  Sure, the down economy has brought some minor changes, but all in all, our courts are functioning in a normal way.
Foreclosure cases, though, are a totally different animal.
I was chatting with a colleague the other day, an attorney who doesn’t handle foreclosure lawsuits, and he was shocked as I described the things I see in foreclosure court on a daily basis.  This is a seasoned attorney who was SHOCKED at what I see every day.  That made me realize … I’m not doing a good enough job of explaining the travesties I see every day in foreclosure-world.
It’s a tough line to toe, frankly.  Bar rules prohibit me from disparaging any particular judge, so it’s sometimes difficult to explain what’s happening in foreclosure court without crossing that line.  In this blog, though, I’m going to toe that line.  Don’t misunderstand – I’m not criticizing anyone in particular.  Rather, my critique – and that’s what I see this as, a constructive critique, coupled with a hope that everyone will realize just how flawed our system has become - is aimed at the entire institution.  My concerns aren’t with any particular judge or any one ruling – they lie with the entire judicial system, the way the entire judiciary is operating right now, at least as it pertains to foreclosure cases.
I know what you’re thinking.  I’m just a self-interested, foreclosure defense attorney who’s trying to delay foreclosures and let people live for free.  I’m upset because the courts are making that more difficult.  Right?
Before you blow off my concerns in that manner, you tell me.  Are my concerns legitimate?  Is this how a judicial system should operate?  You tell me …
As a foreclosure defense lawyer, I’ve seen pro se homeowners attend hearings in their cases and not be allowed to speak.  Not one word.  It wasn’t that the judge didn’t hear the homeowner or didn’t realize he/she was present, either – the homeowner asked the judge to speak at a duly-noticed hearing and was not permitted to do so.  Homeowner loses, yet couldn’t say one word.  Isolated incident, you say?  I’ve personally seen it more than once.
Not being permitted to speak has not been limited to pro se homeowners.  I have personally been threatened with criminal contempt – criminal contempt – for moving to disqualify a judge after striking my defenses without letting me say one word about those defenses.  Your defenses are stricken, you can’t talk, and if you complain about it, I’ll throw you in jail.
In many parts of Florida, attorneys are not permitted to attend foreclosure hearings by phone – regardless of how insignificant or short the hearing may be.  Never mind that the Florida Supreme Court created a rule of judicial administration which requires phone appearances be permitted for hearings that are 15 minutes or less absent “good cause” – in many parts of Florida, attendance by phone is simply not permitted.
I’ve heard some justify this procedure by explaining how it’s difficult to deal with phone appearances in foreclosure cases.  Really?  How is it any more difficult than in other types of cases?  Frankly, I can’t help but wonder if the prohibition on phone appearances is designed to make it harder for defense lawyers to appear in cases for homeowners, enabling the courts to push through those cases faster.  (Prohibiting phone appearances obviously makes it harder and more expensive to attend hearings, often making the difference in a homeowner’s ability to afford counsel.)
That’s an absurd proposition, though, right?  Why would our courts care how quickly foreclosure lawsuits are litigated?  Judges are neutral arbiters – they don’t care how quickly the cases are adjudicated.  Do they? COME TO VERMONT, MY JUDGE MAKES A POINT OF POINTING THIS OUT , ABOUT HOW LONG THIS CASE HAS GONE ON.
The answer to that question is at the heart of the problem.  In recent months, the Florida legislature has been putting immense pressure on Florida judges to clear the backlog of foreclosure lawsuits.  How much pressure?  Well, the legislature controls the amount of funding that goes to our courts – funding that is needed to retain new judges, senior judges, court staff, and clerks (basically, the funding necessary to keep all judges and JAs from being totally overwhelmed).  Unfortunately, the legislature has been giving these judges an ultimatum, kind of like parents do to their children regarding allowance.  Basically, it works like this … “if you don’t finish these foreclosure cases, we won’t give you more funding.”  As such, the legislature holds the judiciary hostage … if the judiciary doesn’t clear cases, then the legislature doesn’t give the judiciary the funding necessary to manage the many thousands of foreclosure lawsuits pending before it.
Perhaps worse yet, and to my sheer disgust, I’m told the legislature recently cut the pay of Florida judges (for the first time in years), and the clear understanding was that it was done as a way to punish/blame the judges for not clearing up the backlog of foreclosure cases faster.  “You won’t enter judgments fast enough for our liking … we’ll cut your pay.”
(The pay of Florida judges is public record, right?  Why is nobody talking about this?)
The judicial system shouldn’t operate this way.  We all learned it in elementary school, how the three branches of government exist as “separate but equal” branches of government, employing a system of “checks and balances” to ensure a fully-functioning government.  But that’s not what’s happening right now, certainly not in foreclosure court.  In foreclosure-world, the legislature is king. TRUTH NO LONGER MATTERS, I WAS SHOWN THIS AND PEOPLE WONDER WHY WE NOW DISTRUST THOSE WE DEPENDED ON TO PROTECT US.
You might think this is conjecture and speculation on my part.  It’s not.  I can’t go a week without hearing how the legislature is forcing judges to move cases.  Judges discuss it openly in open court, and not just to me – to everyone.  As a result of this dynamic – judges wanting to move cases - I see all sorts of crazy things I’d never see in any other area of law.
I’ve mentioned the homeowners who can’t speak, the threats of incarcertaion, and the prohibition on phone appearances, but let’s get to some more egregious concerns.
Judges sua sponte set trials in foreclosure cases (without a Notice of Trial having been filed, without a CMC or pretrial conference, and without discussing/clearing the date with an counsel).  This is now routine, virtually everywhere in the state.
Judges sua sponte set trials in foreclosure cases where a motion to dismiss is outstanding and the defendant has not filed an answer.
Judges sua sponte set trials with less than 30 days’ notice (such that, as defense counsel, you randomly receive a trial Order in the mail, reflecting you have a trial in 2 weeks).
The sua sponte setting of trials dominates the landscape of foreclosure-world.  Banks often don’t want trials in foreclosure cases, but the judges will set them anyway.  Then, even when the plaintiffs are vocal about not wanting a trial in that particular case, judges often insist they go forward anyway.  Even stipulated/agreed Orders to continue a trial or vacate a trial Order often go unsigned.
Sometimes, where trial has been set in violation of Rule 1.440, judges will recognize the error and fix it.  (The judges in Pinellas and Hillsborough in particular are good about this, striving to follow the law.)  In many others cases, though, judges will proceed with trial anyway.  In foreclosure circles, one county has become known for using a stamp – DENIED – right on the motion to vacate trial Order, without a hearing.  Case not at issue?  Doesn’t matter.  Less than 30 days’ notice?  Doesn’t matter.  Bank doesn’t want a trial?  Doesn’t matter.  We’re going to trial! GOT THIS THROWN AT ME IN VT IN JAN OF THIS YEAR. WE WENT IN BLIND WITH NEW OWNERS.
Often, judges won’t proceed with trial where the defendant hasn’t filed an Answer but will essentially force the Answer to be filed forthwith.  How is this accomplished?  Easily – either deny the motion to dismiss (often without a hearing), or sua sponte set a CMC to ensure the case gets at issue.   Some courts use CMCs as a way to, in my view, browbeat parties into settling.  One county, for example, has started setting three CMCs at once – one per week for three consecutive weeks, requiring in-person attendance, at mass-motion calendars that last an hour or more, with no input from counsel on when the CMCs are scheduled.  You’re not available?  Too bad.  You don’t need a CMC three weeks in a row?  Yes, you do.  Your case will get at issue and it will be set for trial.
Oh, and if you want to set a hearing in this county, you have to mail in a form – MAIL IN A FORM – and wait for them to respond to you, by mail, with a form that gives you a set hearing date, without any input from you on when that hearing takes place.
What dominates the thinking from the judiciary – again, not my speculation, but something the judges openly discuss - is their desire to “close” cases.THIS IS TRUE ALSO HERE IN VT.  That’s the monster that the legislature has created – evaluating the performance of judges not based on their work as judges but based on the results set forth in an Excel spreadsheet.  How many foreclosure lawsuits were filed in that county?  How many judgments have been entered?  If the ratio of judgments entered to cases filed is high enough, then the judges in that county are doing a good job and deserve more funding from the legislature.  If not, then those judges and JAs can all suffer through the many thousands of cases without more help.
The dynamic is so perverse that I’ve seen judges refuse to cancel foreclosure sales even when both sides ask them to.
Plaintiff’s lawyer:  “We don’t want this foreclosure sale to go forward, judge.”
Defendant’s lawyer:  “We are living in this house.  We don’t want this foreclosure sale to go forward, judge.”
Judge:  “Foreclosure sale will go forward as scheduled.”
Huh?
This dynamic is particularly difficult to take when the parties have reached a settlement.  For example, loan modifications sometimes happen after a judgment but before a sale.  That means, essentially, that both sides are willing to forego foreclosure with the homeowner resuming monthly mortgage payments.  Incredibly, based partly on their desire to “close” a case, some judges will force a foreclosure sale to go forward even when both parties don’t want it to, having settled their dispute via a loan modification.
Plaintiff’s lawyer:  “We have agreed to a loan modification.  We want the foreclosure sale cancelled.”
Defendant’s lawyer:  “We have agreed to a loan modification.  We wan the foreclosure sale cancelled.”
Judge:  “Foreclosure sale will go forward as scheduled.”
Huh?
Even when both sides are able to resolve disputes before trial, even then they sometimes can’t escape a dress-down from the judiciary.  For instance, I’ve watched judges threaten Bar grievances against lawyers – yes, Bar grievances – where they settled the lawsuit by consenting to a foreclosure judgment with a deficiency waiver and extended sale date.  Mind you, that’s a perfectly legitimate way to compromise and settle a foreclosure lawsuit – bank gets the house, homeowner avoids any further liability and gets to stay in the house longer so as to pack up and move - but the prospect of the sale date getting pushed out 4-5 months angers some judges.  “No, you can’t settle that way.  The sale has to happen sooner.”  Yes, I’ve seen settlements like this rejected with the sale set sooner than the parties agreed.
Huh?
There’s absolutely no rule or law that requires a sale to happen sooner where the parties agree.  Unfortunately, the judges are motivated by having that case “closed” so the numbers on the spreadsheet look better for the legislature.
My natural response is to lament the unfairness of it all.  After all, that homeowner gave up the chances of winning at trial predicated on getting more time in the house.  I find it terribly unfair that the homeowner gave up a right to trial in exchange for an extended sale date that the judge took away … right?  Some judges would scoff at that notion.  After all, I’ve heard several times, in open court, ”there is no defense to foreclosure,” or “I’ve never seen a valid defense to foreclosure,” or words of that ilk.  Never mind that I’ve had many dozens of foreclosure cases dismissed throughout Florida, including several at trial (25 different judges have dismissed a lawsuit of mine on paragraph 22 noncompliance, for example) … there is no valid defense to foreclosure and, hence, no reason for an extended sale date.
Another county has become known for punishing any defendants who force a trial to proceed.  I personally observed the judge begin every hearing by telling the homeowners and their counsel that they “better” accept a 120-day extended sale date, as if that “offer” was rejected then it would be “off the table” after the trial.  The implication here was obvious to everyone in the room … You want to show up and force the bank to prove its case?  You’ll lose, and I’ll punish you by ruling against you and forcing you to move out sooner.
Some would say that the way to deal with this madness is to appeal.  Easier said than done.  Homeowners facing foreclosure are often in no position to fund an appeal.  I’ve taken some appeals for free, but there’s only so many I can handle that way.  Oh, and even if you get beyond the issue of funding, go look for published decisions that are pro-homeowner in the First DCA, Third DCA, or Fifth DCA.  Many thousands of foreclosure cases have been adjudicated in those areas in the past several years.  How many favorable rulings do you think have come out of those jurisdictions during that time?  I’ll give you a hint – not many.  In many ways, appealing in those parts of the state is like standing at the bottom of Mount Everest and being told “climb.”
Dealing with this dynamic has been very difficult in recent months.  It’s a hard pill to swallow.  It’s difficult to watch the judicial system bend at the direction of the legislature.  It’s tough to know the concept of “separation of powers” that we all learned in elementary school is being cast aside.  It’s hard to feel like the most fundamental concepts of due process are being sacrificed to push lawsuits faster when even the plaintiffs in those lawsuits don’t so desire.  It’s hard to feel like these procedures have made it impossible for me to help homeowners in certain parts of the state.  It’s frustrating that many reading this will be upset at the entire judiciary, not realizing there are many circuit judges – particularly in Hillsborough, Pinellas, and other areas within the ambit of Florida’s Second District – who are striving to be fair and follow the law notwithstanding all of the pressure from the legislature.
Mostly, though, I’m disappointed.  I’m disappointed that such perverse procedures are happening in our courts every day yet nobody is talking about it – and many don’t even realize it’s happening.  I’m disappointed that the justice system I knew is eroding.  I’m not going to find a dictionary definition, but that’s what erosion is - a slow process of deterioration such that, before too long, that thing which previously existed is no more.

foreclosure_review_cartoon1While cruising the Internet looking for the status of a particular bank, the Office of the Comptroller of the Currency (OCC) Independent Foreclosure Review website jumped into view. The OCC website is worth an examination even though the Submission Window is closed (way too early IMHO) as there are numerous CONSENT ORDERS made available for viewing. 

Of course the accused financial and/or financial related companies never admit or deny the the “Findings” from the examination by the:
  •  (1) Comptroller of the Currency of the United States of America, through his national bank examiners and other staff of (2) the Office of the Comptroller of the Currency (“OCC”);
  • (3) the Board of Governors of the Federal Reserve System, Washington, D.C.,
  • (4) the Federal Deposit Insurance Corporation (“FDIC”); 
  • (5) the Office of Thrift Supervision (“OTS”); and
  • (6) the Federal Housing Finance Agency (“FHFA”) …
1-6 above (Collectively the “Agencies”…even though this was part of an interagency horizontal review (who apparently all 6 sections agreed to the results of the examination) of the major residential mortgage servicers and mortgage service providers.

Six (6) frickin’ sectors of the Federal Government find that these companies to be in violation of several consumer protection related statutes, deceptive practices and pretty much scumbags and no one forces them to admit to their wrongdoings! 
The CONSENT ORDER “Findings” are still worth reading and we don’t see why the same “Findings” can’t find their way onto complaints and oppositions. Maybe you’ll find a decent, reputable judge, like Judge Rakoff, who will demand an admission along with a settlement. A San Luis Obispo County couple has received a million-dollar-plus settlement and title to two houses in a case that is likely to result in more lawsuits by people who lost property to mortgage lenders after the bursting of the housing bubble.
Greg and Irene Rigali of Shell Beach sued OneWest Bank, IndyMac Mortgage Services, U.S. Bank and GSR Loan Mortgage Trust after their home and a rental property in Grover Beach were foreclosed. At the time, the Rigalis were negotiating with OneWest Bank to modify their mortgages, sources familiar with the case said.
The case turned on a mortgage practice known as “dual tracking.” Under the practice, lenders work with borrowers who are in default but, at the same time, pursue foreclosure.
At the short end of the seven-figure settlement agreement were two nationally known individuals, billionaire Steve Mnuchin, principal owner of OneWest Bank; and Rik Tozzi, a prominent Alabama attorney specializing in banking litigation and “complex cases in difficult or dangerous jurisdictions,” according to his website.

Both Mnuchin and Tozzi came to San Luis Obispo in May for a hearing on a motion to declare OneWest Bank the winner in the Rigalis’ suit. But instead of granting OneWest’s motion for summary judgment, San Luis Obispo Superior Court Judge Charles S. Crandall said that the case should go to trial. The Rigalis had presented enough of a case to be able to have a jury decide their claims of fraud, wrongful foreclosure, unfair business practices, quiet title, and intentional infliction of emotional distress.
After Judge Crandall ruled for the Rigalis and before the next formal court proceedings, OneWest settled. The terms of the settlement are confidential and neither the Rigalis nor their attorneys would comment for this article.
The Rigali’s case had its beginnings about five years ago. Greg Rigali, a former L.A. County sheriff’s deputy, and his wife retired to a small but comfortable and beautifully situated residence in Shell Beach after their adult children left home. A while after that, the Rigalis acquired a rental property in Grover Beach.
It was about that time, while the Rigalis began making college plans for their adopted daughter, that they got solicitations from the holder of their Shell Beach mortgage, IndyMac Federal Bank, inviting them to modify the mortgages on both the home and the rental residence.
That invitation included allowing the Rigalis to suspend or reduce payments on their properties during the run-up to the loan modification.
While the Rigalis were negotiating on the mortgage modifications, IndyMac Federal Bank failed in what would be the fourth-largest bank failure in U.S. history. What was left of IndyMac was acquired in March 2009 by a Mnuchin-led group of private investors for $1.55 billion.
The newly christened OneWest Bank picked up with the Rigalis where IndyMac Federal Bank had left off and negotiations on the modification proceeded.
“Because you are a valued customer, we want to help you stay in your home. Reduce your monthly payment of principal and interest and bring your loan current,” read the new solicitation from OneWest Bank. “We propose to permanently modify your mortgage, bring past-due payments current, and provide you with an affordable monthly payment.”
The Rigalis’ court filings “alleged they were led to believe, by representatives of several banks over a period of years, that their $560,000 loan would be modified. They believed they had entered into several forbearance agreements with several but related banks.”
And so, the Rigalis worked with bank officials for the modification, following every requirement called for by OneWest loan officers, their court filings said. But as that took place, other OneWest officials were moving toward a quiet foreclosure of the valuable beach properties.
The Rigalis were making payments in accordance with a June 2009 agreement with the bank. That included a one-time payment of $3,444.06. OneWest Bank cashed the check even as it pursued foreclosure.
A month later OneWest Bank assigned the Rigali’s trust deed to U.S. Bank.
In September 2009, to the Rigali’s complete surprise, a trustee’s sale of their beach house was conducted, with U.S. Bank the only bidder.
A notice of foreclosure was posted on the couple’s home’s door while Irene Rigali was en route home from what she thought had been a successful meeting with bank officials.
Shortly thereafter OneWest Bank refunded the Rigali’s $3,444.06 check, and the Rigalis filed their lawsuit.
The Rigalis were represented by two local attorneys, Maria L. Hutkin and Jude J. Basile. Jane Heath of San Luis Obispo teamed with Southern California lawyers Marissa Prayongratana and Thomas Agawa to present OneWest’s case.
OneWest filed a motion for summary judgment, a legal maneuver in which a judge can end a case by ruling that there are no real contested issues in the lawsuit.
Mnuchin and Tozzi then attended the May hearing to learn firsthand Crandall’s decision. Crandall, however, denied their motions, setting the stage for trial.
Crandall wrote in his denial of the motion that “the facts before the court are sufficient to defeat summary judgment” of most of OneWest Bank’s assertions, and he concluded that the Rigalis produced enough proven evidence to show that they could prevail in a jury trial.
OneWest quickly offered a settlement, sources said.
But the Rigalis did not want to settle. They wanted to take their case to trial; they wanted a public airing of their complaints, and their attorneys so informed the court.
The Rigalis felt assured the facts of their case would prevail, sources familiar with the suit said.
Recent legislative measures “provide an important lens” for the court to look through, wrote Crandall in denying OneWest’s motion.
The judge was referring to the banking practice of dual tracking, in which a borrower in default seeks a modification while the institution continues at the same time to pursue foreclosure. By the time the borrower learns what is happening, it is usually too late to prevent the foreclosure.
As a California appellate court decision several years ago noted, “For homeowners struggling to avoid foreclosure, this dual tracking might go by another name: the double-cross.”

Zombie Properties: Banks Don’t Want the Money, Don’t Want the Property: They Just Want Foreclosure Sale and Deed

 

The borrowers are for the most part willing to straighten this mess out if approached with fair terms that reinstate their credit and reinstate or create loans that are free from the myriad of defects in the falsely claimed securitization chains. The intermediate banks don't want that because they would be facing liability for trillions of dollars they collected through fraud, deceit and identity theft. So if things keep going the way they are going, the ultimate effect is indeed going to be that the "free house" is going to switch from the intermediate banks who have no just or legal claim to the property to the homeowner whose signature was used in ways he never agreed and would never have agreed.
With 6.6 foreclosures and an equal amount to come, given 2.5 residents per household, more than 33 million people will be displaced--- paying the price for the misbehavior of the bank and having been used as innocent, ignorant pawns in a PONZI scheme that has nearly perfected the technique of PONZI schemes. ---

Zombie Properties got their name from being in a state of limbo. Broadly characterized, they include first homes abandoned my misinformed homeowners who believed their home was subject to a legitimate foreclosure. Second they include properties subject to foreclosures but where the bank has put off getting the final judgment or put off the sale. And third they include properties in which the foreclosure sale has occurred but the property was abandoned by the Banks.
Not surprisingly many schemes have evolved in which the renting of these properties has been accomplished by strangers to the transaction. Knowing that the property is temporarily or permanently abandoned, people are offering "deals" to renters, collecting rents on property they don't own. In other cases the neighborhoods have become so blighted that nobody would move in there if you gave the house to them. So Detroit, Cleveland and other cities are bull dozing tens of  thousands of homes creating farm land and park land where businesses and residential housing had been.
It seems obvious now that the Banks want that foreclosure sale and that is the end of the story. They don't want the money (we are trying to give them the money in several cases (1000 cents on the dollar) and they are resisting, they don't want the house (we are actually deeding the house to them without prejudice and without an agreement to avoid a deficiency judgment), They don't want reinstatement, they don't want redemption, and they don't want any modification or mediation except just enough to give the public relations impression that they are trying to work things out. In most modifications, even where the modification is approved and the homeowner complied with all terms including the payments, the Bank goes ahead and forecloses anyway.
In a real mortgage situation, Banks will do almost anything to avoid foreclosure. If you review the literature on foreclosures prior to 2007 it is all based upon workouts in commercial and residential real estate. In fact "workouts" are an area of concentration for most law firms that engage in mortgage litigation whether they are on the lender side or the borrower's side. Now now. The Bank wants the foreclosure sale and the borrower, investor who put up the funds and insurers who "covered" a "loss" and the counterparts who were covering announced losses, let them be damned.
Why do we have a pandemic of zombies and foreclosures when so many homeowners are actually eager to sign new document that would clear up the title problems caused by MERS, improper disclosure at closing as to who the lender was, claims of fraud, predatory lending deceptive lending etc.?
In the law we say look to the result to determine the intention. There is no doubt that the policies and procedures pursued by the banks, on loans they never owned based upon mortgage bonds that were issued by unfunded trusts, MINIMIZES the eventual monetary recovery and justifies the payment of insurance, payment of hedge contracts (CDS), and the reports to investors that there investment was lost because of foreclosures and expenses of foreclosure, leaving the Banks with the money and frequently the house too because they brought the foreclosure as a servicer without stating they were acting for a principal that had advanced the actual money for the loan.
Since the Banks are evading payment in full, evading receipt of the deed to the home, and evading workouts and modifications, the intent is clear no matter how logical the other alternatives appear to the advantage of all concerned. The intent is to get a foreclosure sale and deed on foreclosure which in most states starts a short statute of limitations ticking in which the deed on foreclosure cannot be challenged.
Of course there are possible remedies involving fraud on the court or the borrower that MIGHT change that but the foreclosure sale basically closes the book on the matter. What does this do for the banks? It ends the possibility of having to account for and pay back money received from investors, insurers, CDS counterparties, guarantors (Fannie and Freddie) and the Federal Reserve who has been buying the worthless mortgage bonds (that supposedly represent a claim of ownership over the loans) at the rate of $85 Billion per month apparently for years.
By getting a deed from a foreclosure sale, they put another layer of deniability between them, the Banks, and the parties from whom they took money on the announced failure of the loans, the bonds or the asset pools. The essential defect of the loans, that the payee and named mortgagee never loaned a dime to the borrower (unknown to the borrower) destroys the claim that the note and mortgage lien were ever perfected. This defect results in a finding of no valid mortgage, nullification of the instrument, and thus no security for the lending party --- something that obviously smart Wall Street lawyers knew about but thought they could finesse --- and they were right.
By having the information at hand in a title and securitization analysis, getting it explained in an Expert declaration from a credible source, and consulting with those who actually understand what happened here, the lawyer can feel confident that he is pleading and can prove that the entire transaction was a sham. Ask any professor of law who knows bills, notes, negotiable instruments, etc. If there was o underlying transaction in which value was exchanged both ways, no enforceable rights arise. There simply isn't a transaction at all, and all the paperwork in the world isn't going to fix that without getting a signature from the borrower --- which most borrowers are willing to do if they get a fair modification based upon real values, instead of the artificially inflated values that were used for the loans.
The fact remains that virtually all loans were paid off in their entirety whether they ever went into "default" (which could not exist because the loan no longer existed), or whether they are performing loans in which hapless homeowners are paying monthly payments to a bank who does not own the loan, on a loan that either no longer exists or which has been paid down by actual payment from parties who waived subrogation, waived contribution and waived any right of action against the homeowner. If the account receivable is paid off, the banks' claim for recovery one more time (after being paid several times over 100 cents on the dollar) in the form of a foreclosure is nothing more than looking for an official governmental action that cuts off the players who advanced the money on the same loan assets repeatedly.
Looking again to the result to determine the intent, it cannot be argued that the Banks pretended to issue mortgage bonds issued from a REMIC trust that was never funded and then did whatever they wanted to do with the trillions of dollars deposited with those investment bank for purchase of the bonds. The investors weren't buying bonds. They were buying problems. They were, contrary to agreement with the investment bank, directly lending money to homeowners without a note or mortgage.
The actual closing procedure was a sham. The closing agent applied the money received from investors through one of the investment banks or an affiliate of the investment bank as though it was a loan from the named payee on the note and the named mortgagee on the mortgage or the named beneficiary on the deed of trust.
Thus the title, to which the investors were expecting and entitled was diverted from the investors to puppet companies who were already under contract to do what they were told --- as in the Assignment and Assumption Agreement executed between the loan "originator" and the "aggregator" neither of whom advanced a dime, nor did they need to do so --- the money from the investors being at hand in a commingled account at the investment bank who never followed through giving money or loans to the Trustee of the New York "Trust" thus creating a legal entity that had neither money nor assets.
The illusion is ONLY completed with an apparently legal "foreclosure sale" which creates a presumption of validity on the 6.6 million foreclosures completed thus far, and the additional latest estimate of 7 million more foreclosures). By fabricating foreclosure documents after the "trades" had been completed (i.e., the banks had received payment for the bonds and loans several times over that they never reported to the investors - but which still must be accounted for as payment to the investor because the investment banks were at all times acting as the agents of the investors).
Confused? Here is the easy way of looking at it. The Banks stole the identity of the investors and the REMIC trust by issuing the bonds into street name" but showing on end of month statements to the investors that they owned the bonds and loans. After selling the loans several times or receiving mitigating payments that were intended to reduce the loss, the loans were worthless to the Banks and now represented a liability to give all that money back because the underlying loans were fraudulent and defective and the trading profits declared by the banks was really the proceeds of theft. All the participants squeeze the last ounce of fees and profit from this PONZI scheme which was completely reliant on the continued purchase of the bogus mortgage bonds. When it was all over, they pitched the loan over the fence and said the Trust owned it but there had never been a transaction between the trust and anyone else in which the trust paid for and was delivered the loan according to the terms of the Prospectus and the Polling and Servicing Agreement.
Want it shown differently? The Banks stole the identity of the borrowers and traded on it knowing they would do anything possible to make the loan go into default and thus collect, in addition to the original money advanced by investors, insurance and other funds that paid off the loan several times over. Some enterprising Class Action lawyer who really knows what they are doing can lay claim to the vast pool of money that emerged from this scheme with the real parties in interest -- the investor lenders and the homeowner borrowers taking the loss. The payment extinguishes the loan and the over payment collected by the banks is due back to the homeowner unless the investors intervene and assert claims to the pool of money that ultimately was held by firms that were at best only intermediaries and at worst (and usually) complete strangers tot he transactions with investors and complete strangers to transactions with the borrowers.

JPMorgan hit by U.S. bribery probe

 

How did the banks get away with it? Bribery takes many forms. It doesn't need to be a direct payment, but merely something of value to the regulator or law enforcement officer. In this case it is the hiring of children of banking regulators in China. There is no reason why we should think that couldn't happen here. It did. The revolving door of regulators, law enforcement and the banks has long been known.
Even if it isn't a bribe, the bank is hiring people and then designating them for important positions in government regulation. Jamie Dimon sits on the Board at the New York Federal Reserve. Being immersed in the bank culture, the people involved come to believe the myths repeated every day. It becomes part of their culture.
The reason why the decisions on banking have been so chaotic is that there is a direct conflict between the real world and the illusions created by the banks. Put another way, the difference is between truth and fiction.
The fact remains that practically no mortgage can be satisfied or released because the ownership is completely deranged. The correction can only come from the courts when they realize and learn that the origination of the loan was a sham transaction, not just a table funded loan, and that the intent was fraud on the investors and homeowners (who were also "investors"). The scheme unraveled precisely in concert with investors ceasing to buy the "mortgage bonds" issued by entities in "street name." That is the red flag that alerts authorities that the securitization chain was in fact a fraudulent PONZI scheme. The issuers were designated asset pools that had nothing in them, and in most cases were not funded, directly or indirectly. So the mortgage bonds were worthless.
And now that the facts are being slowly revealed, the depth of malfeasance by the banks is being recognized for what it is --- but the government is sticking with its policy of "no prosecution." Until the government steps up to the mike and says outright that the scheme was a fraudulent scheme in which the borrowers were used as pawn to steal money from investors, most people are not going to believe it. Until respectable economists and legal scholars step up and say that the loan transaction described in the note never existed and was a strawman transaction that should have been revealed to the borrower, this tragedy will stop.
Study the Assignment and Assumption Agreements executed before the first loan application was ever accepted for review. Track the money from strangers showing up at closing as though it was the money of the designated payee on the note and mortgage. The rest will be easy. But until regulators see the public as their boss instead of the banks, don't expect any help from outside the courtroom.

We all know that dozens of people rose to power in Europe and Asia in the 1930's and 1940's who turned the world on its head and were responsible for the extermination of tens of millions of people. World War II still haunts us as it projected us into an arms race in which we were the first and only country to kill all the people who lived in two cities in Japan. The losses on both sides of the war were horrendous.
Some of us remember the revelations in 1982 that the United States actively recruited unrepentant Nazi officers and scientists for intelligence and technological advantages in the coming showdown with what was known as the Soviet Union. Amongst the things done for the worst war criminals was safe passage (no prosecution for war crimes) and even new identities created by the United States Department of Justice. Policy was created that diverted richly deserved consequences into rich rewards for knowledge. With WWII in the rear view mirror policy-makers decided to look ahead and prepare for new challenges.
Some of us remember the savings and loans scandals where banks nearly destroyed everything in the U.S. marketplace in the 1970's and 1980's. Law enforcement went into high gear, investigated, and pieced together the methods and complex transactions meant to hide the guilt of the main perpetrators in and out of government and the business world. More than 800 people went to jail. Of course, none of the banks had achieved the size that now exists in our financial marketplace.
Increasing the mass of individual financial institutions produced a corresponding capacity for destruction that eclipsed anything imagined by anyone outside of Wall Street. The exponentially increasing threat was ignored as the knowledge of Einstein’s famous equation faded into obscurity. The possibilities for mass destruction of our societies was increasing exponentially as the mass of giant financial service companies grew and the accountability dropped off when they were allowed to incorporate and even sell their shares publicly, replacing a system, hundreds of years old in which partners were ultimately liable for losses they created.
The next generation of world dominators would be able to bring the world to its knees without firing a shot or gassing anyone. Institutions grew as malignancies on steroids and created the illusion of contributing half our gross domestic product while real work, real production and real inventions were constrained to function in a marketplace that had been reduced by 1/3 of its capacity --- leaving the banks in control of  $7 trillion per year in what was counted as gross domestic product. Our primary output by far was trading paper based upon dubious and fictitious underlying transactions; if those transactions had existed, the share of GDP attributed to financial services would have remained at a constant 16%. Instead it grew to half of GDP.  The "paradox" of financial services becoming increasingly powerful and generating more revenues than any other sector while the rest of the economy was stagnating was noted by many, but nothing was done. The truth of this "paradox" is that it was a lie --- a grand illusion created by the greatest salesmen on Wall Street.
So even minimum wage lost 1/3 of its value adjusted for inflation while salaries, profits and bonuses were conferred upon people deemed as financial geniuses as a natural consequence of believing the myths promulgated by Wall Street with its control over all forms of information, including information from the government.
But calling out Wall Street would mean admitting that the United States had made a wrong turn with horrendous results. No longer the supreme leader in education, medical care, crime, safety, happiness and most of all prospects for social and economic mobility, the United States had become supreme only through its military strength and the appearance of strength in the world of high finance, its currency being the world’s reserve despite the reality of the ailing economy and widening inequality of wealth and opportunity --- the attributes of a banana republic.
All of us remember the great crash of 2008-2009. It was as close as could be imagined to a world wide nuclear attack, resulting in the apparent collapse of economies, tens of millions of people being reduced to poverty, tossed out of their homes, sleeping in cars, divorces, murder, riots, suicide and the loss of millions of jobs on a rising scale (over 700,000 per month when Obama took office) that did not stop rising until 2010 and which has yet to be corrected to figures that economists say would mean that our economy is functioning at proper levels. Month after month more than 700,000 people lost their jobs instead of a net gain of 300,000 jobs. It was a reversal of 1 million jobs per month that could clean out the country and every myth about us in less than a year.
The cause lay with misbehavior of the banks --- again. This time the destruction was so wide and so deep that all conditions necessary for the collapse of our society and our government were present. Policy makers, law enforcement and regulators decided that it was better to maintain the illusion of business as usual in a last ditch effort to maintain the fabric of our society even if it meant that guilty people would go free and even be rewarded. It was a decision that was probably correct at the time given the available information, but it was a policy based upon an inaccurate description of the disaster written and produced by the banks themselves. Once the true information was discovered the government made another wrong turn --- staying the course when the threat of collapse was over. In a sense it was worse than giving Nazi war criminals asylum because at the time they were protected by the Department of Justice their crimes were complete and there existed little opportunity for them to repeat those crimes. It could be fairly stated that they posed no existing threat to safety of the country. Not so for the banks.
Now as all the theft, deceit and arrogance are revealed, the original premise of the DOJ in granting the immunity from prosecution was based upon fraudulent information from the very people to whom they were granting safe passage. We have lost 5 million homes in foreclosure from their past crimes, but we remain in the midst of the commission of crimes --- another 5 million illegal, wrongful foreclosures is continuing to wind its way through the courts.
Not one person has been prosecuted, not one statement has been made acknowledging the crimes, the continuing deceit in sworn filings with regulators, and the continuing drain on the economy and our ability to finance and capitalize on innovation to replace the lost productivity in real goods and services.
We are still in the death grip of the banks as they attempt to portray themselves as the bulwarks of society even as they continue to rob us of homes, lives, jobs and vitally needed capital which is being channeled into natural resources so that when we commence the gargantuan task of repairing our infrastructure we can no longer afford it and must borrow the money from the thieves who created the gaping hole in our economy threatening the soul of our democracy. If the crimes were in the rear view mirror one could argue that the policy makers could make decisions to protect our future. But the crimes are not just in the rear view mirror. More crimes lie ahead with the theft of an equal number of millions of homes based on false and wrongful foreclosures deriving their legitimacy from an illusion of debt --- an illusion so artfully created that most people still believe the debts exist. Without a very sophisticated knowledge of exotic finance it seems inconceivable that a homeowner could receive the benefits of a loan and at the same time or shortly thereafter have the debt extinguished by third parties who were paid richly for doing so.
Job creation would be unleashed if we had the courage to stop the continuing fraud. It is time for the government to step forward and call them out, stop the virtual genocide and let the chips fall where they might when the paper giants collapse. It’s complicated, but that is your job. Few people lack the understanding that the bankers behind this mess belong in jail. This includes regulators, law enforcement and even judges. but the "secret" tacit message is not to mess with the status quo until we are sure it won't topple our whole society and economy.
The time is now. If we leave the bankers alone they are highly likely to cause another crash in both financial instruments and economically by hoarding natural resources until the prices are intolerably high and we all end up pleading for payment terms on basic raw materials for the rebuilding of infrastructure. If we leave them alone another 20 million people will be displaced as more than 5 million foreclosures get processed in the next 3-4 years. If we leave them alone, we are allowing a clear and present danger to the future of our society and the prospects for safety and world peace. Don't blame Wall Street --- they are just doing what they were sent to do --- make money. You don't hold the soldier responsible for firing a bullet when he was ordered to do so. But you do blame the policy makers that him or her there. And you stop them when the policy is threatening another crash.
Stop them now, jail the ones who can be prosecuted, and take apart the large banks. IMF economists and central bankers around the world are looking on in horror at the new order of things hoping that when the United States has exhausted all other options, they will finally do the right thing. (see Winston Churchill quote to that effect).
But forget not that the ultimate power of government is in the hands of the people at large and that the regulators and law enforcement and judges are working for us, on our nickle. Action like Occupy Wall Street is required and you can see the growing nature of that movement in a sweep that is entirely missed by those who arrogantly pull the levers of power now. OWS despite criticism is proving the point --- it isn't new leaders that will get us out of this --- it is the withdrawal of consent of the governed one by one without political affiliation or worshiping sound sound biting, hate mongering politicians.
People have asked me why I have not until now endorsed the OWS movement. The reason was that I wanted to give them time to see if they could actually accomplish the counter-intuitive result of exercising power without direct involvement in a corrupt political process. They have proven the point and they are likely to be a major force undermining the demagogues and greedy bankers and businesses who care more about their bottom line than their society that gives them the opportunity to earn that bottom line.

HSBC - WOW!

Looky Looky what HSBC owns!!!

This lovely bit of information came to me by way of a little birdy flying on by.   This is a list of some of the companies that HSBC owns- not all, because even more are hidden behind other ghost corporations and shells, and there are those companies that are owned by these companies listed below, and the joint ventures between these companies with other shell corporations.....  I will say that I find it quite interesting that the USA list is divided into USA (Delaware) and USA (Not Delaware)..... don't you find that interesting?

But you know what's W A Y  more interesting?  If you scroll down to the very very bottom of the page, you'll see that the last "Subsidiary Name" is listed under Viet Nam, shows 100% "percentage held" by HSBC..... and it's S.W.I.F.T.  Now.... anyone who knows banking, anyone who knows finance at all, knows S.W.I.F.T.

SWIFT (Society for Worldwide Interbank Financial Telecommunication)provides a network that enables financial institutions worldwide to send and receive information about financial transactions in a secure, standardized and reliable environment. Swift also sells software and services to financial institutions, much of it for use on the SWIFTNet Network, and ISO 9362. Business Identifier Codes (BICs) are popularly known as "SWIFT codes".

Basically- SWIFT codes move ALLLL the money allllll over the world.

...and HSBC owns it.   Nifty eh?

If you want to have some fun, pick a couple of these purported "companies" and so do a little searching.  I've only spent about 30 minutes and I've already spotted at least 5 different "shell" corporations. Have Fun!!! :>D
